CCI Approves NSPIRA Acquisition by Puneet Kothapa and Ponguru Sisters

The Competition Commission of India (CCI) has given its nod to the acquisition of NSPIRA Management Services Private Limited by Mr. Puneet Kothapa, Ms. Ponguru Sindhura, and Ms. Ponguru Sharani. This deal comes under Section 31(1) of the Competition Act, 2002.

The proposed acquisition includes the purchase of 18.23% of the total issued and paid-up share capital of NSPIRA Management Services Private Limited from NHPEA Minerva Holding BV and 2.24% from Banyantree Growth Capital II, LLC. The Acquirers currently hold 79.48% of the shareholding in the Target and are also the Promoters of the Target.

Who are the Acquirers and the Target?

Mr. Puneet Kothapa is the Managing Director of NSPIRA Management Services Private Limited. Ms. Ponguru Sindhura is a Director of the company and one of its Promoters. Ms. P. Sharani holds 25.83% of the shareholding (on a fully diluted basis) in the Target.

NSPIRA Management Services Private Limited is a management service provider that was established in 2013. The company provides management services to educational institutions, primarily run by Narayana Group. These services include administrative support, content development, exam and admission, infrastructure management, IT solutions, and housekeeping and security, renting and leasing of assets.
